LICENSE AGREEMENT NON-EXCLUSIVE

This License Agreement is between Keller Medlin and _______________, Purchaser (“Licensee”) of a license for a certain instrumental entitled ___________________ (“the Instrumental”), produced by Keller Medlin. Licensee agrees to the following terms and conditions:

- Licensee shall have a non-exclusive right to duplicate, distribute, sell, broadcast, and perform publicly the Instrumental anywhere in the world, so long as it is combined with other audio and/or video, such as with lyrics, as background for a video, or in a soundtrack and does not exceed a distribution maximum set at 2,000 copies in physical form, or 2,000 downloads in digital form. Keller Medlin retains all rights except as granted herein.

- In all projects which include the Instrumental and in which any credits are given, Licensee shall give express credit to Keller Medlin for the original music or a portion thereof by stating “original music by [Licensee] and produced by Keller Medlin” or something substantially similar thereto.

- Licensee agrees to pay to Keller Medlin a one-time purchasing fee of $______________ (no royalties).

- This license is granted for the length of the copyright term of the Instrumental.
